Proof of Concept Development

The goal of this package is one thing: a working proof of concept. We don't begin with assumptions about what's buildable — Phase 1 exists specifically to determine that. From there, each phase is scoped and approved based on what we learn. The exact form of the POC will be defined collaboratively. What we commit to is a disciplined, iterative path to a working physical demonstration of your product concept — nothing less.

Engineering is led by Ilyaas Motley with our team engineer on CAD and hardware fabrication. All labor absorbed into phase fees. In-house 3D printing infrastructure. Client retains all IP produced.

But any engagement of this nature generates significant value that falls outside the scope of any individual deliverable — strategic judgment calls, relationship-building, problem-solving between sessions, and the accumulated IP of how we think through your business. Making calls, sending messages, and leveraging relationships on your behalf — to investors, advisors, potential hires, and partners — that don't fit neatly into a deliverable but create real forward momentum.
Engineering decisions and iteration between phases
Technical judgment calls during POC development that happen outside formal phase deliverables — material sourcing, fabrication decisions, rapid prototyping iterations — that directly determine what gets built.
Vesting terms: The 1.0% equity position vests pro-rata over the full engagement period — tied to completion of all contracted deliverables and phases. If the engagement ends early by mutual agreement, equity vests in proportion to the work completed. Equity is issued in the operating entity (or as otherwise agreed) upon execution of the consulting agreement.

Engagement Terms

Payment structure
Consulting deliverables operate on a 30/70 payment structure. Thirty percent is due when work on that deliverable begins. The remaining seventy percent is due upon delivery and written acceptance. No deliverable begins until its opening payment is received. POC Phase 1 operates on a 50/50 structure — fifty percent at kickoff, fifty percent on delivery and approval. Phases 2 and 3 are scoped and priced following Phase 1 completion. You choose whether to continue at each phase.
Intellectual property
All deliverables, designs, and documentation produced under this engagement are the sole property of the client upon full payment of the associated fee. We retain no IP rights over any work product created for this engagement.
Confidentiality
Both parties maintain strict confidentiality on all proprietary information shared during this engagement. A mutual NDA is included within the consulting agreement executed prior to any work commencing.
Scope changes
Any work outside the defined scope is agreed in writing via change order before it begins. Base engagement scope is fixed as described in this document. Upgrades between packages carry no duplication cost.
